Job Description

This is a terrific opportunity for an experienced paralegal or compliance professional who would like to join a collaborative and supportive team. The Paralegal will be a vital partner to the General Counsel and Associate General Counsel, managing legal documents, contracts, corporate governance records, and compliance support functions. You will ensure the smooth and organized execution of legal and compliance processes across investment transactions, contracts, and regulatory compliance.

As the Paralegal, you will work closely with the legal team, investment team, and other departments within the firm and will be expected to communicate regularly with internal and external stakeholders. The ideal candidate will be a proactive and detail-oriented professional with strong organizational skills, a collaborative mindset, and the ability to manage multiple ongoing processes and projects with accuracy and efficiency in a fast-paced investment environment.

PRIMARY RESPONSIBILITIES

Compliance Support :

  • Assist with maintaining the firm’s compliance program, including preparing materials for routine exams and regulatory reviews, maintaining the compliance calendar, monitoring employee compliance onboarding, and reporting ongoing compliance with the Code of Ethics using a compliance software tool such as ComplySci or similar employee compliance system.
  • Support and help manage the firm’s investment advisory compliance program, including oversight of private fund activities, regulatory filings (e.g., Form ADV), and maintenance of related policies and procedures.
  • Manage audit and testing reviews, working with business units to resolve findings and remediation items.
  • Conduct employee surveillance and monitoring activities, including electronic communications and Code of Ethics compliance, to verify adherence to firm policies and procedures.
  • Provide compliance support for the firm’s vendor management, information security, cybersecurity, and books and records programs.
  • Create and maintain reports of compliance activities for senior management, including remediation and exception reporting.
  • Support marketing compliance and cross-functional strategic initiatives to ensure alignment with regulatory and internal requirements.

Legal Document Management:

  • Coordinate the preparation, review, execution, and tracking of legal documents related to investment transactions, acquisitions, dispositions, and financings, ensuring all files are maintained in organized digital and physical repositories.
  • Assist with legal checklist management for all investment transactions. Coordinate UCC/lien/judgment searches and other due diligence activities for real property.
  • Manage legal invoices, ensuring proper internal routing and review, and facilitate payment according to firm processes.

Contract Administration:

  • Draft, redline, and manage contracts, including NDAs, Purchase & Sale Agreements (PSAs), consulting agreements, and vendor contracts, while ensuring proper internal reviews and approvals.

Governance and Entity Management:

  • Maintain corporate governance records for investment and other entities, including signature blocks, EINs, wire instructions, and corporate documents.

Legal Workflow Tracking:

  • Oversee legal and compliance team workflow, track all incoming and outgoing matters, and maintain and update the internal workflow tools to ensure timely progress and clear communication across teams.

Stakeholder Communication and Coordination:

  • Serve as a central legal point of contact, ensuring timely and accurate transmission of documents and communications to firm leadership and external clients, counsel, and counterparties.

Internal Policy Management:

  • Maintain and update the firm’s internal legal and compliance policy databases, ensuring employees have access to current versions of approved templates and policies.

Knowledge, Skills & Abilities

  • Minimum 5 years of experience as a paralegal or compliance professional within a registered investment adviser.
  • Experience working in a private equity firm, family office, or real estate investment environment preferred.
  • Experience supporting a compliance program for a private fund investment adviser
  • Working knowledge of the SEC’s Investment Advisers Act of 1940
  • Experience supporting marketing review and approval processes for an investment adviser
  • Demonstrated ability to draft, review, redline, and manage contracts and legal documents with accuracy and attention to detail
  • Experience with corporate governance documents, entity management, and investment documentation processes
  • Proficient in Microsoft Office (Word, Excel, PowerPoint), DocuSign, and SharePoint
  • Strong process and project management skills with the ability to track and prioritize multiple ongoing matters
  • Excellent written and verbal communication skills, with the ability to engage effectively across internal teams, leadership, external counsel, and clients
  • Proactive and hands-on approach; takes ownership and drives tasks to completion
  • Analytical and solution-oriented mindset; enjoys problem-solving and finding creative solutions

Compensation & Benefits

At Grounded Capital, we value our employees and are committed to providing a competitive compensation package with an annual discretionary bonus along with comprehensive benefits to support their well-being and financial security .

The compensation range for the base salary for this position is:$180,000 - $200,000 with an additional discretionary annual bonus.

Workplace Arrangements & Physical Requirements

This full-time position reports to the General Counsel and situationally to the Associate General Counsel. The role requires regular in-office presence at Grounded Capital’s San Francisco office, currently with the flexibility for optional remote work on Wednesdays. We anticipate a return to the office five days a week sometime in the next twelve months. The position involves seated desk work, frequent computer and telephone use, and handling both digital and physical legal records.
